CANDIDATE REPRESENTATION AGREEMENT

This Agreement is made between Claros Technology Pty Ltd (ACN 79 671 036 963) of Level 5, 17 Moore St, Canberra ACT 2601 ("CLAROS" or "Service Provider") and you ("Candidate").

1. What We Do For You

CLAROS agrees to provide the following services at no cost to you:

• Create and optimize your professional profile on our platform
• Conduct skills assessments and SFIA framework mapping
• Match you with suitable job opportunities using AI technology
• Introduce you to potential employers and clients
• Coordinate interviews and provide logistics support
• Assist with salary negotiations where requested
• Provide career development guidance and market insights
• Ongoing relationship management and career support

2. Your Responsibilities

As a candidate, you agree to:

• Provide accurate and complete information about your qualifications and experience
• Notify us immediately of any changes to your availability or contact details
• Participate honestly in skills assessments and interviews
• Respond promptly to communications from us and potential employers
• Conduct yourself professionally in all interactions
• Inform us immediately upon accepting any job offer
• Not bypass CLAROS by dealing directly with employers we introduce you to for 12 months

3. AI Technology & Privacy

You consent to CLAROS using artificial intelligence tools to:

• Analyze your resume and profile for skills extraction
• Generate personalized assessment questions
• Evaluate your responses and rank your suitability for roles
• Match your profile with client opportunities
• Provide career development recommendations

All AI processing complies with Australian privacy laws and does not involve discriminatory algorithms.

4. Fees & Costs

Our services to you are completely free. We receive fees from employers when we successfully place candidates. Any third-party costs (travel, medical exams, etc.) remain your responsibility.

5. Non-Exclusive Arrangement

This agreement is non-exclusive - you're free to:

• Register with other recruitment agencies
• Apply directly for positions
• Accept opportunities from any source

We just ask that you inform us if you accept an opportunity elsewhere to avoid conflicts.

6. Confidentiality

You agree to keep confidential any information about our business operations, client details, and other candidates. This continues for 2 years after this agreement ends.

7. Your Rights

You have the right to:

• Access your personal information held by CLAROS
• Request correction of inaccurate information
• Withdraw consent for certain uses of your information
• Request explanation of automated decision-making processes
• Terminate this agreement with 14 days' notice

8. Equal Opportunity

Important: Employment decisions rest with employers, and CLAROS cannot guarantee specific outcomes. This agreement is governed by ACT law.

CLAROS PLATFORM TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the CLAROS recruitment platform ("Platform") operated by Claros Technology Pty Ltd.

1. Acceptance of Terms

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Platform.

2. Platform Usage

You agree to use our Platform responsibly and in accordance with:

• All applicable Australian federal, state, and local laws
• International laws where applicable
• These Terms of Service and our Privacy Policy
• Any additional guidelines posted on the Platform

3. User Accounts and Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4. Acceptable Use Policy

You agree not to use the Platform to:

• Provide false, misleading, or inaccurate information
• Create multiple accounts or impersonate others
• Interfere with or disrupt our services or servers
• Attempt unauthorized access to our systems or other users' accounts
• Upload or transmit viruses, malware, or harmful code
• Engage in any unlawful, harmful, or offensive conduct
• Violate intellectual property rights of others
• Spam, harass, or abuse other users
• Scrape or extract data without permission
• Use automated systems to access the Platform without authorization

5. Content and Intellectual Property

Your Content: You retain ownership of content you submit but grant us necessary licenses to provide our services. You warrant that your content doesn't infringe third-party rights.

Our Content: All Platform content, technology, and intellectual property remain the exclusive property of CLAROS Technology Pty Ltd, including:

• Software, algorithms, and AI technology
• Platform design, layout, and user interface
• Trademarks, logos, and branding
• Assessment questions and methodologies
• SFIA framework implementation
• Proprietary matching algorithms

6. AI Technology and Automated Processing

Our Platform uses artificial intelligence for various functions including:

• Resume parsing and skills extraction
• Job matching and candidate ranking
• Assessment question generation
• Performance evaluation and benchmarking

You consent to automated processing of your information and acknowledge that AI decisions may be subject to human review upon request.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms.

8. Professional Services and Fees

CLAROS provides recruitment services to candidates at no cost. Our revenue comes from fees paid by employers for successful placements. We may offer premium services with separate fee structures.

9. Third-Party Services and Links

Our Platform may integrate with or link to third-party services. We are not responsible for third-party content, privacy practices, or terms of service.

10. Disclaimers and Limitation of Liability

Service Availability: We strive for high availability but don't guarantee uninterrupted service. Maintenance, updates, and technical issues may cause temporary unavailability.

Limitation of Liability: To the fullest extent permitted by law:

• Our total liability is limited to AUD $5,000
• We're not liable for indirect, consequential, or special damages
• We don't guarantee employment outcomes or specific results
• We're not responsible for actions of employers or other users
